Terms of Service

By accessing or using the ClickWave Co website (clickwaveco.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, clients, and anyone who accesses or uses our services. ClickWave Co provides digital marketing services including but not limited to search engine optimisation (SEO), website design and development, Google Ads management, content strategy, and white-label agency partnerships. The specific scope, deliverables, timelines, and fees for each engagement are outlined in a separate Statement of Work (SOW) or service agreement signed between ClickWave Co and the client.

Service availability

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of services.

Fees

All fees are as agreed in your service agreement or SOW. Prices are stated in USD unless otherwise specified. We reserve the right to adjust pricing with 30 days' notice for ongoing retainer engagements.

Invoicing

Invoices are issued monthly in advance for retainer services, or as milestones are reached for project-based work. Payment is due within 14 days of the invoice date unless otherwise agreed.

Late payments

Late payments may incur a 1.5% monthly interest charge. We reserve the right to pause or suspend services if payment is overdue by more than 21 days.

Refunds

Due to the nature of digital services, all fees paid are non-refundable unless explicitly stated otherwise in your service agreement, or unless we have materially failed to deliver agreed services.

Client-owned assets

Upon receipt of full payment, all custom deliverables created specifically for your project (website designs, content, ad copy) become your property.

ClickWave-owned assets

We retain ownership of our proprietary tools, frameworks, templates, processes, and any pre-existing intellectual property used to deliver services. We grant you a non-exclusive licence to use these as part of your deliverables.

Portfolio rights

We reserve the right to display your project (website, results, case study) in our portfolio and marketing materials unless you request otherwise in writing.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, client lists, financial data, and technical processes. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

For white-label partners, we maintain strict confidentiality regarding your client relationships and do not contact your clients directly.

Digital marketing results — including search engine rankings, traffic, and conversions — are influenced by many factors outside our control, including algorithm updates, competitor activity, and market conditions. We do not guarantee specific ranking positions, traffic numbers, or revenue outcomes.

We commit to applying industry best practices, maintaining transparent reporting, and actively optimising campaigns to achieve the best possible outcomes for your business.

To the maximum extent permitted by law, ClickWave Co shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services, including loss of revenue, data, or business opportunities.

Our total liability for any claim arising from our services is limited to the total fees paid by you in the three months preceding the claim.

By you

You may terminate a service agreement by providing 30 days' written notice. Fees for work completed or in progress during the notice period remain payable.

By ClickWave Co

We may terminate or suspend services immediately if you breach these terms, fail to pay invoices, or engage in conduct that we deem harmful or unethical. In such cases, we will provide written notice and invoice for all work completed to date.

Effect of termination

Upon termination, we will transfer all client-owned deliverables and access credentials to you within 14 days, subject to outstanding payment being settled.

These Terms of Service are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Wyoming.

We may update these Terms of Service from time to time. We will notify active clients of material changes via email. Continued use of our services after changes are effective constitutes acceptance of the revised terms. The current version is always available at clickwaveco.com/terms-of-service.
